Terms

An outline of what the terms will say, written from how the Engine works so counsel drafts from the real system. Counsel writes the terms; until then nothing here is a term anyone has accepted. Draft 0.1.

  1. The service. A private workspace for developing film projects toward financing: reading uploaded materials, producing assessments, scores, research and drafts, recording the project's history, and sharing selected material with people the user or New Path Pictures names.
  2. Accounts. During the controlled launch sign-up is by invitation (crew and buyer links) or by New Path Pictures; after it a filmmaker creates their own account on the public site; one person per account; the user keeps the password secret and tells New Path Pictures of any misuse.
  3. The user's materials. The user keeps ownership of what they upload and confirms they have the right to upload it and to name the people they name. The user grants New Path Pictures the limited permission needed to store, process (including with model providers), display and share the materials as the Engine does and as the user directs. No transfer of intellectual property. No financing promise.
  4. What the Engine produces. Assessments, scores, research and drafts are estimates and suggestions made with the help of language models, for the user and New Path Pictures to judge; they are not legal, tax, accounting or investment advice, and nothing in the Engine says a project is approved, financed, eligible for a credit, or endorsed unless a person at New Path Pictures says so in writing. Draft copy the Engine writes is the user's to accept or reject.
  5. Sharing. Doorway links, buyer rooms and expert questions share only what was selected; links expire; a withdrawn share stops further access but cannot recall a downloaded copy.
  6. New Path Pictures' role. Review and readiness approval are human decisions; New Path Pictures may decline to approve or to send a project; any commercial arrangement (producing, representation, fees, participation) is a separate written agreement, never implied by use of the Engine.
  7. Acceptable use. No uploading of material the user has no right to share, no attempts to reach another user's project, no automated abuse; New Path Pictures may suspend an account that breaks these.
  8. Privacy. The privacy notice governs personal information; the terms point to it and do not restate it.
  9. Availability, changes, termination. Reasonable efforts, no uptime promise at this stage; the user may close the account at any time and the deletion procedure applies; New Path Pictures may change the terms with notice and a new version to accept.
  10. Liability and law. Counsel's clauses; Alberta law and courts unless counsel advises otherwise.
  11. Commercial terms. The Engine is an annual membership, with the deck and budget builders priced separately for each project, alone or together. The catalogue and recorded account or project benefits determine the offer; the purchase record retains its exact price, terms and catalogue version. Invited alpha users receive one free year and both builders. Initial-slate projects receive free platform access while they remain on the Engine, with no annual renewal charge. Builder purchases are separate, with discounts recorded once agreed. Application-based entry does not itself grant free access or a discount. Paid annual membership renews until cancelled. Until the payment provider's own portal exists, the user cancels before a renewal by writing to New Path Pictures; access continues through the paid period. A lapse restricts access and does not delete the project or its record. Builders create AI-assisted working drafts from project materials, history and available research. Users refine them through answers, notes and targeted changes. Budget estimates and planning allowances are labelled, not supplier quotes or assurances of eligibility. The user chooses Publish live to update the deck for everyone with existing viewing access. Draft changes are private until publication. Earlier uploads, versions and reviews remain on the record.
